TKH proposes Executive Board changes as next step in separation process

In September 2025, TKH Group N.V. (“TKH” or “Group”) announced the intended carve-out of the Electrification business (“TKH Electrification”) from the Group. With this separation, TKH has entered the next phase of its development, enabling a dedicated focus, increased opportunities and a healthy outlook for both the Automation activities and TKH Electrification, based on the strong foundations that have been created over the past period. Following the intended separation, Alexander van der Lof, current CEO of TKH, will become the CEO of TKH Electrification to provide for continuity and stability. After an extensive search and selection process, the Supervisory Board has decided to nominate Guido Grandi for appointment to the Executive Board of TKH per the date of the Extraordinary General Meeting to be held on 3 September 2026. Per 1 January 2027, or such earlier date as the separation of TKH Electrification is executed, Guido Grandi will succeed Alexander van der Lof as CEO of TKH.
Guido Grandi (55) most recently served as CEO of Norma Group SE, an international market leader in joining technologies, offering innovative solutions for key markets (€1.2bn turnover, 8,500 employees). Prior to joining the Norma Group, Guido was CEO of WKW Group. Guido is a German national who graduated in Mechanical Engineering, with a focus on aerospace engineering, and completed an MBA at Arizona State University. Guido Grandi has broad international experience in managing transformational and re-alignment processes across the industrial sector, having also held senior management positions at industrial groups thyssenkrupp, Ford and United Technologies Corporation. Guido Grandi currently holds a supervisory position at KUKA SE & Co KG Aa, an international Robotics Group.

The nomination of Guido Grandi will be put forward to the shareholders at an Extraordinary General Meeting of Shareholders (“EGM”) to be held on 3 September 2026. Following the appointment of Guido Grandi at the EGM, TKH’s Executive Board will consist of 4 members up until the separation: Alexander van der Lof (CEO until 1 January 2027, or such earlier date as the separation of TKH Electrification is executed), Elling de Lange (CFO), Harm Voortman (COO) and Guido Grandi (CEO from 1 January 2027 onwards, or from such earlier date as the separation of TKH Electrification is executed). Following the separation of TKH Electrification, Alexander van der Lof will resign from the TKH Group Executive Board and continue as CEO of TKH Electrification.

Over the past years, TKH has transformed into two leading businesses which are well positioned to capture the growth opportunities presented by the automation and electrification trends. For their next phase of growth, TKH is limited in supporting both activities in their performance and long-term capital requirements. Based on the size and asset light structure of Automation, TKH will accelerate its transition towards becoming a leading Automation company and seek an alternative ownership structure for its Electrification activities.
The proposed separation will be submitted for shareholder approval on a voluntary basis at the EGM on 3 September 2026, as TKH considers the views and support of its shareholders for the intended separation of significant importance. TKH anticipates publishing its notice for the EGM by 23 July 2026.
